The General Terms and Conditions of Sale

The present general conditions of services constitute the entirety of the rights and obligations agreed between Happy French, SASU registered with the Paris Register of Companies under SIRET number 908 023 278 00017 and whose registered office is located at 38 rue Paul Vaillant Couturier 94140 Alfortville and its customer (the “Customer”) within the framework of the provision of the Digital Marketing services described in the present General Conditions of Services.

 

By subscribing to a Happy French service offer, the Customer unreservedly accepts these General Terms and Conditions of Service, declares that he/she is not under any legal incapacity preventing him/her from signing this agreement and that he/she has all the powers necessary to enter into it.

 

Purpose of services

Happy French offers its clients the opportunity to benefit from its French language course services.

 

As used herein, the expression “Services” refers to the personalized services provided by Happy French, on a dedicated site, allowing access to specific digital marketing services.

 

Through its services, Happy French is in no way bound to specific results. On the contrary, it has an obligation of means, and must make every effort to deliver the most effective services possible.

 

Contract duration

For the services offered on this site, there is no fixed term of contract, so there is no automatic renewal of payment.

 

Use of services

Use of the Services depends on the Customer having sufficient and constant Internet access. Happy French cannot be held responsible in the event of technical problems preventing the Customer from using Happy French’s services.

 

Pricing conditions

The current price depends on each Service and is the one indicated on the Happy French website.

 

The price of each Service is denominated in euros, calculated exclusive of tax, VAT not being applicable in accordance with article 293B of the French General Tax Code.

 

Happy French reserves the right to modify its prices at any time.

 

Billing & Payment

5.1. Payment methods

Subscription to all Happy French Services is made by means of a valid credit or debit card, or by SEPA bank transfer (the “Payment Method”). By providing the information relating to his/her Payment Method, the Customer expressly authorizes payment of the Services using this Payment Method.

 

The Customer remains responsible in all circumstances for payment of the amount due, and Happy French shall not be held liable in any way in the event of refusal of payment by the issuer of the Means of Payment. If the means of payment associated with the Client’s Account is refused or rejected, Happy French will send a notification to the Client.

 

5.2. Default and late payment

As a general rule, Happy French will not provide any services until it has received the expected amount.

 

Personal data

6.1. Data confidentiality

Happy French respects the Client’s confidentiality and will only use the information that the Client has provided or that it has collected in the course of providing the Services in accordance with: the Cookie Policy available at the following address: https://happy-french.com/politique-de-cookies-ue.

 

6.2 Information for data subjects

Happy French undertakes to comply with the applicable legislative and regulatory provisions and in particular the EU General Data Protection Regulation 2016/679 and Law No. 78-17 of January 6, 1978 as amended by Law No. 2018-493 of June 20, 2018.

 

Customer information transmitted and collected by Happy French is subject to computer processing for customer relationship management, administrative purposes or any other reason imposed by the regulations in force. This processing is based on the need to execute the services in progress and on the legitimate interests of Happy French.

 

Customer personal data will be kept by Happy French for as long as is necessary to fulfill the purposes for which it was collected, unless Happy French is required by law to keep certain data.

 

Happy French may share certain personal data with other recipients. This includes (i) service providers who may process personal data strictly necessary for the performance of the services entrusted to them by Happy French, within the framework of a subcontracting agreement, (ii) competent authorities to whom Happy French may be legally obliged to disclose information. In the event of the transfer of personal data outside the European Union, Happy French undertakes to put in place a guarantee of adequate protection, in accordance with the regulations in force.

 

In accordance with the regulations in force, the Customer has the right to access, portability, rectification, limitation and deletion of data concerning him/her, and may withdraw his/her consent to the processing of his/her personal data at any time, by contacting Happy French at the following e-mail address contact@happy-french.com .

 

If the Customer considers that these rights have not been respected, he may lodge a complaint with the CNIL.

 

6.3. Data security

Happy French will take all commercially reasonable precautions, including, but not limited to, technical (e.g. firewalls and data encryption), organizational, administrative and physical measures, to ensure the security of the Customer’s Account, Account data against unauthorized use, dissemination or modification.

 The Customer shall protect all endpoints by deploying all commercially reasonable security measures. The Customer shall ensure that the Services are not subject to any illicit or fraudulent use. 

Modification of the general terms of service

The parties agree that Happy French may, from time to time, modify these Terms and Conditions of Service. Happy French undertakes to inform the Customer at least 30 days before such modifications become applicable.

 

Applicable law and jurisdiction

The services are subject to French law.

Any dispute arising from the conclusion, interpretation, execution or non-execution, or from the consequences, of the Contract shall, for the non-consumer Customer, be subject to the jurisdiction of the Créteil Commercial Court
